Acceptance of Terms
Welcome to Komorei, a platform that connects people through in-person events at local cafés. These Terms of Service (“Terms”) form a legally binding agreement between you (the user) and Komorei (the company) when you access or use the Komorei mobile application or related services (“Platform”). By creating an account or using the Platform, you agree to abide by these Terms. If you do not agree, please do not use Komorei. We may update these Terms from time to time, and will notify users of any material changes. Continued use of the Platform after changes means you accept the revised Terms.
Note: This agreement is between you and Komorei only. Third parties like Apple (for iOS apps) or Google (for Android apps) are not responsible for the Komorei app or its content. However, your use of our iOS or Android app must also comply with the respective App Store or Google Play terms and policies.
Eligibility and Account Registration
Age Requirements: You must be at least 18 years old to register for or use Komorei’s services. Komorei is not directed at children under 18, and we do not knowingly collect personal information from anyone under 18, in compliance with the U.S. Children’s Online Privacy Protection Act (COPPA). By creating an account, you represent that you meet these age requirements.
Account Setup: When you register, you agree to provide accurate, current information (such as your name and a valid email). You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to promptly notify Komorei of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that are inactive, fraudulent, or otherwise pose security concerns.
Roles and Responsibilities
Komorei provides a platform for three main types of users: Hosts, Cafés (Venues), and Attendees. While we facilitate the listing and discovery of café events, Komorei is not the creator, organizer, or owner of the events posted. We do not host or control the events themselves Hosts and Venues are independent parties responsible for the events they organize or host.

Cafés (Venues): A Café (or venue) is a business or location that allows Hosts to hold events on their premises. Venues using Komorei should provide truthful information about their location (address, hours, capacity, amenities, photos, etc.) and honor any event bookings or arrangements made with Hosts. Komorei is not a party to any agreements between Hosts and Venues (for example, agreements on space usage or fees), and does not guarantee or control the terms of any such arrangements. Venues are responsible for ensuring events hosted at their location comply with applicable health, safety, and legal requirements.

Hosts (Event Organizers): A Host is a user who creates and manages in-person events on Komorei. Hosts are solely responsible for complying with all local laws, regulations, and café/venue rules when organizing an event. This includes obtaining any necessary permits, ensuring the event content is appropriate and lawful, and delivering the event as described to attendees. Hosts must provide accurate details about their events (date, time, location, any fees, etc.) and are responsible for their own conduct and the content they post.

Attendees: An Attendee is a user who joins or participates in events. Attendees are expected to behave respectfully and safely at events, following any rules set by the Host or Venue. Attending an event is voluntary and at your own risk, and Attendees assume personal responsibility for their safety during the event. If you feel uncomfortable or unsafe at an event, you should leave and/or report the issue to the Host, Venue, and Komorei if appropriate.
All users agree to interact with each other in good faith and to resolve any minor disputes directly if possible. Komorei is not responsible for resolving disputes between Hosts, Venues, or Attendees, although we may try to help in good faith if a serious issue is reported.
Acceptable Use and Conduct
We want Komorei to remain a safe and friendly community. By using the Platform, you agree NOT to engage in any of the following prohibited activities:

Harassment or Hate: Do not upload or communicate any content that is defamatory, obscene, pornographic, or offensive, or that harasses, threatens, or advocates harm against any person or group. We have zero tolerance for content that promotes discrimination, bigotry, racism, hatred, or violence.

Illegal or Harmful Content: Do not post or share any content that is illegal, fraudulent, or malicious. This includes content that infringes on anyone’s intellectual property rights or privacy rights, or content that promotes unlawful activities.

Misrepresentation: Do not impersonate any person or entity, or misrepresent your affiliation with any person or entity. You must not provide false information or create accounts for anyone other than yourself without permission.

Disruption and Security: Do not interfere with or disrupt the Platform or the networks connected to it. This means no introducing viruses or malicious code, no attempting to hack or bypass any security measures, and no spamming or overloading the Platform with request. Also, do not data-mine or scrape information from Komorei without our permission.

Personal Data Abuse: If you have access to other users’ personal information (for example, as a Host viewing attendee names, or a Venue viewing Host profiles), you agree to use that information only for the intended purpose (i.e., managing the event) and to protect it. Do not collect, harvest, or share personal data of other users without their consent.
Komorei reserves the right to investigate and take appropriate action against any behavior or content that violates these rules. This may include removing or modifying content, suspending or terminating accounts, or reporting you to law enforcement if the situation warrants. We also reserve the right to cancel any event listing or booking if we believe it violates our policies or is harmful.
Payments and Fees
Komorei enables Hosts to charge fees for events (such as tickets or participation fees) and allows Attendees to pay for events directly through the Platform. We use Stripe as our third-party payment processor for all financial transactions. By providing payment information in Komorei, you consent to your payment details being processed by Stripe, and you agree to comply with Stripe’s applicable terms and privacy policy for payment processing. Komorei does not store your full credit card information on our servers; payment details are securely transmitted to Stripe.
Fees and Refunds: Any fees charged for an event (ticket prices, venue fees, etc.) are set by the Host or Venue, not by Komorei. Komorei may charge a small service fee or commission on transactions (if applicable, this will be clearly disclosed at the time of purchase). All payments are processed in a secure manner via Stripe. Unless otherwise stated by the Host or required by law, event payments are generally non-refundable. If an event is canceled or you are unsatisfied, you should contact the Host for any potential refund or remedy. Komorei is not responsible for issuing refunds for payments that were processed on behalf of a Host’s event, but we may assist in facilitating communication between Attendees and Hosts in the event of a dispute.
Be aware that Hosts are responsible for delivering the event as promised. If a Host fails to hold the event or significantly changes the details after you paid, that is a matter between the Host and the Attendees. Komorei does not assume liability for any losses related to such issues, though we encourage Hosts to act fairly and communicate with Attendees if problems arise.
Limited License to Use the Platform
Komorei grants you a personal, non-transferable, non-exclusive, revocable license to access and use the Platform for its intended purposes, subject to your compliance with these Terms. This means you can download and use our mobile app on your iOS or Android device and use our website and services for personal, non-commercial use. You agree not to copy, modify, distribute, sell, or lease any part of our software or services. You also agree not to reverse engineer or attempt to extract the source code of our software, unless laws prohibit these restrictionsvenuepilot.com. Komorei retains all rights, title, and interest in the Platform and its content, including all intellectual property rights. You must not use Komorei’s name, logos, or branding without our prior written consent.
User Content and Proprietary Rights
Your Content: When you create an event, upload a photo, post a description, or otherwise submit content to Komorei (“User Content”), you retain any ownership rights you have in that content. However, you grant Komorei a worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your content solely for the purpose of operating, promoting, and improving the Platform. This license is necessary for us to, for example, display your event listing to other users and promote events on our Platform. We will never claim ownership of your personal content, but this license continues even if you remove your content or delete your account (for as long as the content is stored in backup or as required to fulfill the original purposes). Be sure that you have the rights to any content you post (especially images or text you did not create) – by posting, you promise that sharing the content on Komorei does not violate any copyright, trademark, or other rights.
Komorei Content: The Platform itself contains content and materials provided by Komorei or its licensors (including text, graphics, logos, code, and design). This content is protected by intellectual property laws. You agree not to use Komorei’s content except as allowed by these Terms. You also agree not to use any trademarks or logos of Komorei without permission.
If you believe that any content on Komorei infringes your copyright or other rights, please contact us with detailed information so we can investigate. We respect intellectual property laws and may remove or disable content found to be infringing.
Privacy
Your privacy is very important to us. Our collection, use, and sharing of personal information in connection with the Platform is described in our Privacy Policy, which is incorporated into these Terms by referencegethank.com. By using Komorei, you consent to the handling of your personal information as outlined in the Privacy Policy. In summary, we collect basic personal data (such as name, email, and location) to provide the service, and we share certain data with other users only as necessary for events (e.g., Hosts can see Café details and vice versa, as described below) and with third-party service providers like Stripe for payments. We do not sell your personal information to third parties. Please review the Privacy Policy for more details on how we protect your information and your rights regarding your data.
Interactions and Information Sharing Among Users
One of Komorei’s key features is enabling interactions between Hosts, Venues, and Attendees. To facilitate this, certain profile information will be shared in a controlled way:

When a Venue lists their café or agrees to host an event, the Venue’s public details (café name, address, photos, description) will be visible to Hosts and Attendees browsing events. Hosts can view relevant venue information to decide where to hold events.

When a Host creates an event, the Host’s profile (name, profile photo, and any public social links or bio) will be visible to Attendees and to the Venue hosting the event. This helps participants and the café know who is organizing the event.

When an Attendee joins or RSVPs to an event, the Host of that event may see the Attendee’s name and possibly profile handle or limited profile info, so the Host knows who is coming. Cafés/Venues do not automatically see the list of individual Attendees for an event (unless an attendee chooses to interact with the venue directly at the event).
We strive to limit the personal data shared and will only share what is necessary for the smooth coordination of events. By joining an event as a participant, you understand that the Host will receive your name and any other info needed for event logistics. Likewise, by hosting an event at a café, you understand that the café will see your Host profile and event history to build trust. Misuse of this information by any party is strictly prohibited and would violate our Acceptable Use rules. If you are a Host or Venue, you must handle any personal information about other users in compliance with privacy laws and solely for the purposes of the event
Third-Party Services and Links
Komorei may integrate with or contain links to third-party services that are not owned or controlled by us. Notably, payments on Komorei are processed via Stripe, and our app may use other services (for example, map services to display event locations). Your use of third-party services is subject to each service’s own terms and privacy policy, not these Terms. For example, when you make a payment, you are also agreeing to Stripe’s terms by using their service on our Platform. We do not endorse or assume any responsibility for third-party websites or services. If you follow a link to a third-party site (for example, a social media link in a Host’s profile or a café’s website), you do so at your own risk, and you understand that our Terms and Privacy Policy do not apply to those external sites.
Komorei is also available via mobile app marketplaces (Apple App Store for iOS and Google Play Store for Android). Use of our app is subject to the respective app store rules as well. For example, if you downloaded Komorei from the App Store, Apple and its subsidiaries are third-party beneficiaries to these Terms and may enforce these Terms against you as an end-user of the app. However, your direct relationship is with Komorei, not Apple or Google. If you have questions, complaints, or claims regarding the mobile app, you should contact Komorei (see “Contact Us” below), not Apple or Google.
Disclaimers (No Warranty)
Komorei provides the Platform to help users connect and organize events, but we do not supervise or control those events or the interactions between individuals. Events listed on Komorei are organized and run by Hosts and Venues who are independent from Komorei. Komorei does not conduct background checks on users (Hosts, Attendees, or Venues) and does not vet the safety, quality, or legality of any event. We do not guarantee that any event will meet your expectations, or that the Host or Venue will comply with their obligations. User content (including event descriptions, profiles, and comments) is not endorsed or approved by Komorei – it reflects the views of the users who provided it. While we may, at our discretion, moderate content or handle complaints, we make no warranty that all inappropriate behavior or content will be caught or addressed.
Use of the Platform and attendance at any event is at your own risk. Komorei is provided “as is” and “as available”, without warranties of any kind, either express or implied. To the maximum extent allowed by law, we specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any guarantees of accuracy, reliability, or availability. For example, we do not promise that the Platform will be uninterrupted or error-free, that events will be safe or will actually occur, or that information provided by users (such as event details or personal profiles) is true or up-to-date
If you are a Host or Venue, you acknowledge that Komorei is not responsible for assisting you in complying with lawsapplicable to your events or business. For instance, if your jurisdiction requires insurance or special permits for events, or if there are health regulations for café gatherings, you (not Komorei) are responsible for adhering to those requirements. Komorei disclaims all liability for the actions or omissions of any user, Host, Venue, or other third party.
Assumption of Risk and Release of Liability
Because Komorei is simply a facilitator of in-person meetups, you understand that there are inherent risks in attending or hosting social events. By using the Platform, you agree that you are voluntarily assuming all risks related to your in-person interactions and activities through Komorei. This includes potential risks of physical injury, illness (for example, exposure to communicable diseases), loss or damage of property, or other unforeseen events that may occur at a café event. You also agree that Komorei is not responsible for any personal injuries, deaths, property damages, thefts, or other losses that happen during or as a result of an event organized through our Platform, to the maximum extent permitted by law
Hosts and Venues are fully responsible for the events they provide. Komorei does not supervise events or guarantee the behavior of any participants. We do not verify the identity or qualifications of Hosts, nor the condition or suitability of Venues, and we do not guarantee any specific outcome from an event. By participating in an event, you release Komorei and its officers, employees, and agents from any claims or liability arising from the event or related interactions. For example, if you are injured at an event or unsatisfied with how it was run, you agree that your claim is against the Host or possibly the Venue not against Komorei, since Komorei itself was not hosting or managing the event
This release does not apply to any liability that cannot be excluded or limited by law. However, in jurisdictions that allow liability waivers, you waive and discharge any and all claims or causes of action against Komorei that arise from your participation in events or your use of the Platform, whether those claims are known or unknown, suspected or unsuspected. We advise all users to exercise common sense and caution in all interactions and to prioritize safety at events (for example, meet in public places, keep personal belongings secure, etc.).
Limitation of Liability
To the fullest extent permitted by applicable law, Komorei and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages that result from or are related to the use of the Platform or participation in events. This includes, for example, damages for lost profits, loss of data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages. Komorei’s total liability to you for all claims arising out of or relating to these Terms or the use of the services shall not exceed the amount (if any) you paid to us for access to the Platform in the 6 months preceding the claim, or CAD $100, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. In any case, Komorei’s liability is limited to the fullest extent permitted by law.
No Joint Liability: We facilitate connections and transactions between Hosts, Venues, and Attendees, but we are not jointly liable for the obligations of those parties. If a Host fails to deliver an event or a Venue fails to provide the agreed space or services, Komorei is not liable for those breaches. Any dispute or claim arising from interactions between users should be resolved between the parties involved, without implicating Komorei, to the extent possible
Indemnification
You agree to indemnify, defend, and hold harmless Komorei and its directors, officers, employees, and agents from and against all third-party claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform or services, (b) your violation of these Terms or of any law or regulation, (c) your infringement of any rights of another party (including other users or any third parties), or (d) your events or interactions with Hosts, Attendees, or Venues through Komorei. This means that if you, as a Host, violate someone’s rights or cause harm and Komorei is sued as a result, or if you, as an Attendee, harm someone at an event, you will cover Komorei for any costs or liabilities incurred from those incidents. Komorei reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense strategy.
Termination
By You: You may stop using Komorei and even delete your account at any time. If you wish to delete your account, you can do so through the app (if available) or by contacting us at our support email. Deleting your account will remove your profile from active view, but note that content you posted (such as past event listings or reviews) may remain on the Platform as part of others’ experience or as necessary for legal compliance and recordkeeping.
By Us: We reserve the right to suspend or terminate your access to Komorei at any time, with or without notice, if we believe (in our sole discretion) that you have violated these Terms, any applicable law, or you are otherwise misusing the Platform. In most cases of minor violations, we will attempt to send a warning or work with you to resolve the issue before terminating. However, for serious violations or illegal activities, your account can be terminated immediately. We are not liable to you for any such suspension or termination of service. If your account is terminated, you remain bound by the sections of these Terms that by their nature should survive (such as provisions on liability, indemnification, dispute resolution, etc.).
Governing Law and Dispute Resolution
Komorei is currently operated by a business registered in Canada. Therefore, these Terms and any dispute arising from them or your use of the Platform will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. If you reside outside of Canada, you still agree that Canadian law governs your use of Komorei. Nothing in these Terms is intended to undermine any rights you have under consumer protection laws in your province, state, or country of residence. In other words, if local law in your area provides you certain protections or rights that cannot be waived, those provisions will still apply to you.
Jurisdiction: Subject to any applicable consumer protection laws that may allow you to bring claims in your home jurisdiction, you agree that any disputes or claims against Komorei shall be brought in the courts of competent jurisdiction in the Province of Ontario, Canada. You consent to the personal jurisdiction of such courts. If you are a U.S. user, this clause does not prevent you from invoking any rights or remedies under U.S. federal or state law if those laws prohibit the choice of Ontario law or venue for your particular claim.
Dispute Resolution: We encourage you to contact us first to try to resolve any issue informally. Often, a quick chat or email can resolve misunderstandings. If we cannot resolve a dispute amicably, and unless prohibited by law, you and Komorei agree that any legal claim will be handled individually (not as part of a class action). At this time, we do not require arbitration – you may proceed in court. However, both you and Komorei waive any right to a jury trial if permitted under applicable law, opting instead for a trial before a judge if a trial occurs. This jury trial waiver does not apply where prohibited by law (for instance, some jurisdictions do not allow predispute jury waivers).
Compliance with Local Laws
While these Terms are governed by Canadian law, Komorei is intended to be used in various locations. As a user, you are responsible for obeying all laws and regulations that apply to your use of the Platform and participation in events in your local jurisdiction. This means, for example, if you are a Host in the United States, you must follow U.S. laws (and state/local laws) regarding events (including any tax obligations, permitting, or safety regulations). Similarly, Venues must ensure they comply with health and safety codes, capacity limits, liquor licensing (if applicable), etc., when allowing events. Komorei strives to create a community that respects legal boundaries everywhere. If we discover conduct or content that violates local law, we may take action (such as removing content, cancelling events, or reporting to authorities) as appropriate.
Changes to These Terms
Komorei is an evolving service, and we may update these Terms to adapt to new features, legal requirements, or other changes. If we make material changes, we will notify users through the app, website, or via the email associated with your account, at least 30 days before the updated Terms take effect whenever feasible. The notice will outline the key changes. If you continue to use Komorei after the new Terms become effective, that constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using Komorei and, if desired, delete your account before the changes take effect.
